OCLC Application and Agreement for the OCLC Global Sharing Program, Group Access Capability (GAC)

Thank you for your interest in the OCLC Global Sharing Program. These terms clarify the expectations of the program. You, the applicant, hereby makes application to OCLC Online Computer Library Center, Incorporated ("OCLC") to be a participant in the Global Sharing Program within an OCLC Group Access Capability ("GAC") arrangement, as defined in OCLC's applicable product description. In consideration for favorable action by OCLC on this application, applicant hereby agrees as follows:
  1. Applicant shall adhere to the following group policies in regard to payment and delivery methods:
    • Fill ILL requests from other participants in the Global Sharing Program
    • Accept only OCLC Interlibrary Loan Fee Management ("IFM") for payment
    • Deliver materials using one of the methods listed below:
      • Returnables: airmail or courier
      • Non-returnables: fax or Ariel
  2. Global Sharing Program (GS#P) participants agree to follow International Federation of Library Associations and Institutions (IFLA) guidelines for ILL as outlined by the Interlibrary Loan (ILL) Protocol Resources.
  3. This Agreement may be terminated by OCLC or by Applicant at any time, upon not less than sixty (60) days prior written notice to the other party.
  4. Applicant shall pay to OCLC under this Agreement the applicable OCLC charges for, and prevailing at the time of, Applicant's access to and use of the OCLC System, and applicable, prevailing profiling and training charges, within forty-five (45) days after receipt of an invoice from OCLC. Charges are exclusive of taxes, and any taxes due, paid or assessed with respect to charges or transactions under this Agreement shall be paid or reimbursed by Applicant.
  5. OCLC MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES WITH RESPECT TO ONLINE PROCESSES OR SERVICES, INCLUDING THE TIME OF THEIR AVAILABILITY. ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE, ARE HEREBY DISCLAIMED. OCLC SHALL NOT BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE FORM OF ACTION, NOR SHALL IT BE LIABLE FOR EXEMPLARY DAMAGES, LOST REVENUES OR LOSS OF DATA. In no event (even if the exclusivity or limitation of liability or remedy set forth above is held to be unenforceable for any reason) shall OCLC's total liability to Applicant in respect of any claim, regardless of the form of action, exceed the charges paid by Applicant under this Agreement for the three (3) months immediately preceding the incident giving rise to such claim.
  6. This Agreement (and if you are an OCLC participant, your OCLC participant agreement) is the entire, complete and exclusive statement of the parties' agreement with respect to the subject matter hereof, and shall be governed and construed under the laws of the State of Ohio, the United States of America. Neither party shall be liable for any failure to perform arising from a cause beyond its control and not occasioned by its fault or neglect.
